Low Institute for Therapeutics (the “Company,” “we,” “us,” or “our”) requires that you adhere to these Terms of Use (“Terms”) when visiting the Company websites that these Terms are linked to (collectively, the “Sites”). Please read these Terms carefully. By using the Sites, you agree to be bound and abide by these Terms and our Privacy Policy. If you do not agree with these Terms or our Privacy Policy, please do not use the Sites.

Please note that we may update these Terms from time to time and we ask that our visitors periodically review this page to ensure familiarity with the most current version of these Terms. Medical Content

Please note that certain sections of the Sites maybe intended only for particular audiences such as health care professionals,patients and/or the general public.  All content including images, textdocuments, audio, video, and interactive media published on the Sites(collectively, “Content”) is presented in summary form and is providedfor informational purposes only.  The Content is intended to help patientsand medical providers better understand certain health conditions and treatmentoptions. The Content is not intended in any way to be a substitute forprofessional medical advice and should not be interpreted as treatmentrecommendations. Only a physician who has had an opportunity to interact withthe patient in person, with access to the patient’s records and the opportunityto conduct appropriate follow-up, can provide recommendations for treatment.

Submissions

By voluntarily submitting information,communications, or content (including photos, videos, testimonials, reviews,suggestions, ideas and works of art) (each a “User Submission”) to theSites, you agree that a User Submission is non-confidential for all purposesand you grant the Company an irrevocable, nonexclusive, perpetual, worldwide,royalty-free, fully sublicensable, right and license to use, display, publiclyperform, modify, reproduce, publish, distribute, adapt, make derivative worksof, sublicense and otherwise commercially and non-commercially exploit yourUser Submission and all copyright, trade secret, trademark, or otherintellectual property rights therein, in any manner or medium now existing orhereafter developed (including but not limited to print, film, or electronicstorage devices), without compensation of any kind to you or any third party.By submitting material to us, you represent and warrant that you have the fullauthority to grant the rights set forth above and that your User Submissionwill not and does not, in whole or in part, infringe the intellectual propertyrights, rights of privacy or publicity, or any other rights of any third party.You further represent and warrant that you have attained the legal age ofmajority in your jurisdiction. You are solely responsible for your UserSubmission.  The submission of any User Submission in no way creates anyobligation or duty on the part of the Company to post or use such UserSubmission or, if we do so, to give you credit. We may contact you via phone,email, or mail regarding your User Submission.

Prohibited Uses

You may use the Sites only for lawful purposes andin accordance with these Terms. You agree not to use the Sites:

  • In  any way that violates any applicable federal, state, local, or     international law or regulation;
  • To  send, knowingly receive, upload, download, use, or re-use any material     that does not comply with these Terms;
  • To  rely on any Content as medical advice;
  • To     transmit, or procure the sending of, any advertising or promotional     material, including any “junk mail,” “chain letter,” “spam,” or any other     similar solicitation;
  • To     impersonate or attempt to impersonate the Company, an Company employee,     another user, or any other person or entity (including, without     limitation, by using email addresses associated with any of the     foregoing);
  • To transmit any sexually explicit material; and
  • To engage in any other conduct, including discrimination or harassment, that     restricts or inhibits anyone’s use or enjoyment of the Sites, or which, as     determined by us, may harm Company or users of the Sites, or expose them     to liability.

Additionally, you agree not to:

  • Use  the Sites in any manner that could disable, overburden, damage, or impair     the Sites or interfere with any other party’s use of the Sites, including     their ability to engage in real time activities through the Site
  • Use     any robot, spider, or other automatic device, process, or means to access     the Sites for any purpose, including monitoring or copying any of the     material on the Sites
  • Use     any manual process to monitor or copy any of the material on the Sites, or     for any other purpose not expressly authorized in these Terms;
  • Use     any device, software, or routine that interferes with the proper working     of the Sites;
  • Introduce     any viruses, Trojan horses, worms, logic bombs, or other material that is     malicious or technologically harmful;
  • Attempt     to gain unauthorized access to, interfere with, damage, or disrupt any     parts of the Sites, the server on which the Sites are stored, or any     server, computer, or database connected to the Sites;
  • Attack     the Sites via a denial-of-service attack or a distributed     denial-of-service attack; and
  • Otherwise     attempt to interfere with the proper working of the Sites.

Intellectual PropertyRights

The Sites, the Content and their features, andfunctionality (including but not limited to the design, selection, andarrangement thereof) are owned by the Company, its licensors, artists, or otherproviders of such material and are protected by copyright, trademark, patent,trade secret, and other intellectual property or proprietary rights laws.

No right, title, or interest in or to the Sites orany content on the Sites are transferred to you, and all rights not expresslygranted are reserved by the Company. Unless otherwise indicated, all logos,names, designs and marks on the Sites are trademarks or service marks owned orused under license by the Company. The use or misuse of any of these marks orother information is strictly prohibited. Any use of the Sites not expresslypermitted by these Terms is a breach of these Terms and may violate copyright,trademark, and other laws. Nothing contained herein shall be construed asconferring by implication, estoppel or otherwise any license or right under anypatent or trademark of the Company or any third party.

Termination

If the Company believes, in its sole discretion,that you have violated these Terms or the Privacy Policy, The Company reservesthe right, without notice to you, to immediately terminate or suspend youraccess to all or part of the Sites, in addition to any other remedies availableat law.

Claims of CopyrightInfringement

In the event we receive a copyright infringementnotice, we will respond to notices of alleged copyright infringement thatcomply with applicable law. If you believe any materials accessible on or fromthis Sites infringe your copyright, you may request removal of those materials(or access to them) from the Sites by submitting written notification to ourcopyright agent designated below. In accordance with the Digital MillenniumCopyright Act (17 U.S.C. § 512) (the “DMCA”), the written notice (“DMCA Notice”)must include substantially the following:

  • Your physical or electronic signature;
  • Identification of the copyrighted work you believe to have been infringed or, if the     claim involves multiple works on the Sites, a representative list of such     works;
  • Identification of the material you believe to be infringing in a sufficiently precise     manner to allow us to locate that material;
  • Adequate information by which we can contact you (including your name, postal     address, telephone number, and, if available, email address;
  • A statement that you have a good faith belief that use of the copyrighted     material is not authorized by the copyright owner, its agent, or the law;
  • A statement that the information in the written notice is accurate; and
  • A statement, under penalty of perjury, that you are authorized to act on     behalf of the copyright owner.

  • A statement under penalty of perjury by you that you have a good faith belief that the material identified above was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled; and
  • A statement that you will consent to the jurisdiction of the Federal     District Court for the judicial district in which your address is located (or if you reside outside the United States for any judicial district in     which the Sites may be found) and that you will accept service of process from the person (or an agent of that person) who provided the Sites with the complaint at issue.

The DMCA allows us to restore the removed contentif the party filing the original DMCA Notice does not file a court actionagainst you within ten business days of receiving the copy of your CounterNotice.

Please be aware that if you knowingly materiallymisrepresent that material or activity on the Sites are infringing yourcopyright or if you knowingly materially misrepresent that material or activityon the Sites was removed or disabled by mistake or misidentification, you maybe held liable for damages (including costs and attorneys’ fees) under Section512(f) of the DMCA.

The Sites may contain links to other websites. Weencourage all of our partners, contributors, and third parties to implementpolicies and practices that respect the privacy of our users. However, we arenot responsible for the privacy practices or content of such websites.Inclusion of any link to another website does not imply a recommendation orendorsement by the Company. Use of a third party website is at your own riskand subject to the terms and conditions of use for such websites.

Security

We maintain reasonable administrative, physical,and technical measures to protect the security of the Sites.  However, nowebsite, server or database is completely secure or “hacker proof.” Therefore,we cannot guarantee that any information submitted through the Sites will notbe disclosed, misused or lost by accident or by the unauthorized acts ofothers.

Disclaimer of Warranties

You understand that we cannot and do not guaranteeor warrant that files available for downloading from the internet or the Siteswill be free of viruses or other destructive code. You are responsible forimplementing sufficient protection to satisfy your particular requirements foranti-virus protection and accuracy of data input and output, and formaintaining a means external to our Sites for any reconstruction of any lostdata. TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY WILL NOT BE LIABLE FORANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES,OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTEREQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOURUSE OF THE SITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITES OR TO YOURDOWNLOADING OF ANY CONTENT POSTED ON IT, OR ON ANY WEBSITES LINKED TO IT.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANYHEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED,STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OFMERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THATCANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENTWILL THE COLLECTIVE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES ANDAFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS,OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION,WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED ONE HUNDRED DOLLARS ($100).

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THATCANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless theCompany, its affiliates, licensors, and service providers, and its and theirrespective officers, directors, employees, contractors, agents, licensors,suppliers, successors, and assigns from and against any claims, liabilities,damages, judgments, awards, losses, costs, expenses, or fees (includingreasonable attorneys’ fees) arising out of or relating to your violation ofthese Terms or your use of the Sites, including, but not limited to, your UserSubmissions, any use of the Content, services, and products other than asexpressly authorized in these Terms, or your use of any information obtainedfrom the Sites.

Governing Law and Jurisdiction

All matters relating to the Sites and these Terms,and any dispute or claim arising therefrom or related thereto, shall begoverned by and construed in accordance with the internal laws of the State ofIndiana without giving effect to any choice or conflict of law provision orrule (whether of the State of Indiana or any other jurisdiction).

Any legal suit, action, or proceeding arising outof, or related to, these Terms or the Sites shall be instituted exclusively inthe federal courts of the United States or the courts of the State of Indiana,in each case located in the City of West Lafayette and County of West Lafayette. You waive any and all objections to the exercise of jurisdiction over you bysuch courts and to venue in such courts.

Children Under the Age of Eighteen

Our Sites are not intended for children or minorsunder the age of eighteen years without the permission of a parent or guardian.If you believe that a child has submitted personal information on or throughour Sites without the consent and supervision of a parent or guardian, pleasecontact us using the information provided below so that we can take appropriateaction.
